1. TERMS OF WEBSITE ACCESS

1.1 Website Access

Your access to this Website (GoodFoodWarehouse.com.au), and the supply of all goods and services ("Products") to GoodFoodWarehouse.com.au, is conditional on your acceptance without alteration of these Terms and Conditions and any other Supplier Policy provided by GoodFoodWarehouse.com.au on the website. The Supplier acknowledges that the information in relation to GoodFoodWarehouse.com.au's business affairs, Customers, the method of carrying on business, the methods of sale of the Products, product registration procedures and other confidential information shall be deemed confidential and the sole property of GoodFoodWarehouse.com.au (the "Confidential Information"). The Supplier shall not at any time divulge any of the Confidential Information without the prior written consent of GoodFoodWarehouse.com.au.

2.2 Non solicitation of Customers

The Supplier warrants that it will not, on its own account or for or by means of any person, enterprise, corporation, firm, trust, joint venture or syndicate entice away from GoodFoodWarehouse.com.au or approach any customer of GoodFoodWarehouse.com.au without the express written consent of GoodFoodWarehouse.com.au.

2.3 Survival

GoodFoodWarehouse.com.au and the Supplier agree that this clause shall continue to have effect notwithstanding the termination or expiration of these Terms and Conditions for 5 years after the last order supplied to GoodFoodWarehouse.com.au by the Supplier.

GoodFoodWarehouse.com.au has agreed to grant the Supplier Access to the Website in accordance with these Terms and Conditions.
